SACRAMENTO VALLEY MG CAR CLUB

CONSTITUTION


ARTICLE I
General


Section 1 NAME
The name of this Club shall be the Sacramento Valley MG Car Club.

Section 2 PURPOSE
The purposes of this Club shall be the promoting and scheduling of events relating to the MG car, the furthering of interest in the MG marque, and the understanding of the sport of motoring in all its phases.


ARTICLE II
Membership


Section 1 ELIGIBILITY
The membership of this Club shall be limited to the owners of MG cars or MG car lovers.

Section 2 FULL MEMBER
A full member shall be anyone who owns an MG car.

Section 3 ASSOCIATE MEMBER
An associate member shall be anyone who has a serious interest in the history and tradition of the MG marque and aspires to owning an MG car. Associate members shall not have voting privileges.

Section 4 APPLICATION PROCESS
Prospective members shall complete an application for membership that shall be reviewed and acted upon by the Board of Officers. The Board is hereby empowered to reject the application of any person when that person's membership is not considered to be in the best interest of the Club. No prospective member shall attend more than three meetings and/or events as a guest without applying for membership.


ARTICLE III
Officers


Section 1 COMPOSITION OF THE BOARD
A. The governing body of this Club shall consist of President, Vice-President, Secretary, and Treasurer. In addition, the Immediate Past President shall have a seat on the Board. In the event that the Immediate Past President is not available to serve on the Board, a fifth Board member shall be selected by the elected officers.

B. Matters voted upon by the Board of Officers shall be passed by a simple majority.

Section 2 TERM OF OFFICE
The term of office, for Board members, shall be one full year beginning on the first day of January.

Section 3 VACANCIES
In the event of resignation, impeachment, etc., the Board shall appoint an officer to serve out the unexpired term.

Section 4 IMPEACHMENT
Any elected officer, who fails to attend three or more consecutive Board meetings or fulfill the responsibilities of their elected office, may be subject to replacement at the discretion of the Board.


ARTICLE IV
Amendments


Section 1 REVISIONS
Any proposals for amendment of this Constitution shall be made in writing to the Board of Officers, who shall cause such proposals to be published in the next Club publication in ballot format. A simple majority of the ballots cast shall be required for a proposed amendment to be passed.


ARTICLE V
Affiliation


Section 1 AFFILIATIONS
This Club is affiliated with the MG Car Club Ltd., Kimber House, P.O. Box 251, Abingdon, Oxon OX14 IFF, England and the North American MGB Register, P.O. Box MGB, Akin, IL, 62805.

 

BYLAWS

ARTICLE I
Membership


Section 1 RIGHTS OF MEMBERS
All full members of this Club shall have the following rights: to hold office, participate in all Club activities, display Club regalia, take advantage of Club discounts, and vote in Club elections. When Full membership is held by a Husband & Wife, or Single person and Significant Other living together in the same household, each shall be entitled to one vote on club business. Associate members may not hold office or vote in Club elections.

Section 2 DUES
Dues, for full members, shall be $30.00 per year and $24.00 per year for an associate member. Dues shall be due and payable on the first day of July annually. Whosoever joins this Club from August through March shall pay dues prorated for each month of the remaining fiscal year. (Prorated dues apply to new members only.) Whosoever joins this club in April, May or June shall pay the full annual dues amount and their membership shall be for the balance of the current year plus the following fiscal year.

Section 3 DELINQUENT DUES
Any member, whose dues have not been paid by September 1st, will have their membership automatically cancelled. Members thus cancelled, who subsequently desire to be reinstated, must pay the full annual dues.

Section 4 TERMINATION
Any member who fails to comply with any requirements of this Constitution and/or Bylaws, other than non-payment of dues, shall be notified that their membership may be cancelled, unless they can show cause before the Board within thirty days after the notice is mailed

ARTICLE II
Meetings


Section 1 GENERAL MEETINGS
Meetings shall be held every month, at a date and time to be determined by the Board of Officers.

Section 2 BOARD MEETINGS
The Board of Officers shall meet as deemed necessary by the Board. Board meetings shall be open to the general membership.


ARTICLE III
Elections


Section 1 NOMINATIONS AND VOTING
At the October general meeting, the members shall appoint a Nominating Committee of three who shall, at the November general meeting and in the November Club newsletter, present to the Club their nominees for each office. This shall in no way limit or prevent nominations from the floor prior to the election. To enable all members to vote on the Ballot, such nominations from the floor shall be presented no later than at the November club meeting. The Ballot containing the Nominating Committee's slate and all nominations from the floor shall then be sent - by e-mail or postal mail - to all members early in November with the following preamble:

Here follows a Ballot for you to complete, to select the Board of Officers for the SVMGCC for the year January through December, (fill in year). If you received this via e-mail, please print a copy, make your vote and either bring the Ballot to the December club meeting or mail it to SVMGCC, P.O. Box 2194, Fair Oaks, CA 95628 to arrive no later than the day of the December meeting. There is also a space on the Ballot for you to enter your vote for the (current year) Member of the Year.

Voting shall be done at the December general meeting. The Ballots shall be counted by the club Secretary or, in his or her absence, by a member of the Nominating Committee. The results of the voting (except for the Member of the Year) shall be announced at the meeting and published in the January newsletter.

Section 2 TIED VOTE
In the occurrence of a tied vote there shall be a run-off vote of the two candidates.


ARTICLE IV
Elected Officers


Section 1 DUTIES OF ELECTED OFFICERS
Common duties of the elected officers are to attend Board meetings, vote on matters before the Board, and to represent the responsibilities of their office at general meetings.

A. PRESIDENT nominates non-elected officers, presides at meetings, acts as general representative for the Club and validates membership cards.

B. VICE-PRESIDENT substitutes for the President in his absence and presides at Board meetings.

VICE PRESIDENT also fills the role of Activities Chairman, with the following duties: Ensure that all club events and activities are chaired by a member who understands the objectives of that event, and maintain contact with this member to offer assistance as needed and keep the event on schedule. Ensure that no event is organized which is likely to expose the club to legal liability for negligence or nuisance. Ensure that all events are either self-supporting (paid for by participants), sponsored by the club with expenditures approved in advance by a vote of the membership, or a combination of the two. Ensure that all events and activities are publicized adequately and in good time on the club website and in the club newsletter. Ensure that someone participating in each event is given the task of writing a report for the club newsletter.

C. SECRETARY records minutes of meetings, keeps all Club records except current financial records, and tallies the votes at Club elections.

D. TREASURER collects and disburses moneys as approved by the Board, presents reports at general meetings, arranges periodic audits of the Club's financial records and presents a calendar-year-end report for publication.

ARTICLE V
Non-elected Officers


Section 1 APPOINTMENT AND DUTIES
At the first Board meeting, each year, the President shall present a list of candidates for any or all of the following areas of activity or for other areas as the need arises: Membership Secretary, Editor, Librarian/Historian, Regalia, and Technical Chairman. The Board members shall then consider the nominees, each to be confirmed in office by a majority vote. A member shall be eligible to hold more than one office and they may choose an assistant or a committee.

A. MEMBERSHIP SECRETARY shall influence prospective members to join the Club, collect dues, keep an accurate membership list, report to the Board on membership changes, publish a roster of the Club, and publish new members in the Club publication.

B. EDITOR shall publish a monthly publication with full responsibility for content and distribution to members, prospective members and other clubs or organizations.

C. TECHNICAL CHAIRMAN shall help members on technical matters and act as custodian of Club technical literature and tools.

D. LIBRARIAN/HISTORIAN shall control Club-owned general literature and, where possible shall maintain a photographic record of Club activities.

E. REGALIA shall purchase, maintain, stock, and sell to members Club regalia such as: T-shirts, hats, badges, etc.


ARTICLE VI
Liabilities of Members


Section 1 LIABILITY TO CLUB CREDITORS
No members of this Club shall be personally liable to its creditors for any indebtedness or liability, and any and all creditors of this Club shall look only to the assets of this Club for payment.

Section 2 CLUB LIABILITY TO MEMBERS
Members must, by law, have their own insurance. Members shall participate in Club events at their own risk and shall look to their own insurance agent for any liabilities.


ARTICLE VII
Grille Badges


Section 1 PURCHASE AND RETURN
Grille Badges may be purchased from the Club regalia officer. Upon a member's departure from the Club, the grille badge may be returned for a refund.


ARTICLE VIII
Rules of Order


Section 1 APPLICATION
Roberts Rules of Order shall apply in so far as there is no conflict with this Constitution or Bylaws.

ARTICLE IX
Amendments


Section 1 REVISIONS
Any proposals for amendment of these Bylaws shall be made in writing to the Board of Officers, who shall cause such proposals to be published in the next Club publication in ballot format. A simple majority of the ballots cast shall be required for a proposed amendment to be passed.
